Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Texxto platform, including our website (texxto.app), APIs, dashboard, and messaging services, operated by Cobian Holdings Corp ("Company," "we," "us," or "our"). By using our services, you agree to these Terms.
1. Service Description
Texxto is a cloud-based business messaging platform that enables businesses to send and receive SMS and MMS messages through our API and web dashboard. We provide messaging infrastructure, not the content of messages sent by our users.
2. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your API credentials.
- You must be at least 18 years old and authorized to represent your business.
- One account per business entity unless otherwise authorized.
3. Acceptable Use
You agree to use our services only for lawful purposes. You must NOT use Texxto to:
- Send messages without prior express consent from recipients (as required by TCPA)
- Send messages to numbers on the National Do Not Call Registry without an existing business relationship
- Send deceptive, fraudulent, or misleading content
- Send messages containing illegal content, malware links, or phishing attempts
- Engage in SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) without proper compliance
- Circumvent carrier filtering or send messages designed to evade spam detection
- Resell or redistribute our services without authorization
4. Messaging Compliance
You are responsible for complying with all applicable messaging laws and regulations, including but not limited to:
- TCPA (Telephone Consumer Protection Act)
- CTIA messaging guidelines and best practices
- 10DLC (10 Digit Long Code) campaign registration requirements
- CAN-SPAM Act for any email-to-SMS messaging
- All applicable state and local regulations
You must maintain records of opt-in consent for all message recipients and honor all opt-out requests immediately. Every message must include clear opt-out instructions (e.g., "Reply STOP to unsubscribe").
5. Opt-In and Opt-Out Requirements
- You must obtain prior express written consent before sending marketing messages.
- You must clearly disclose the purpose, frequency, and nature of messages at the point of opt-in.
- Opt-in consent cannot be a condition of purchase or service.
- You must process STOP requests immediately — our platform handles this automatically.
- You must respond to HELP requests with your business name and support contact information.
- Opt-in consent and phone numbers are never shared with third parties.
6. Prohibited Content
Messages sent through Texxto must not contain:
- Illegal products or services
- Deceptive claims or misleading offers
- Content that violates carrier acceptable use policies
- High-risk financial products without proper licensing and disclosures
- Content targeting minors
7. Service Availability and SLA
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for delays or failures caused by carriers, network issues, or circumstances beyond our control.
8. Pricing and Payment
- Pricing is based on message volume and is detailed on our pricing page.
- Carrier pass-through fees are billed at cost.
- Payment is due per the terms of your agreement.
- We reserve the right to suspend service for non-payment.
9. Suspension and Termination
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Generate excessive carrier complaints or spam reports
- Fail to maintain proper opt-in consent records
- Engage in illegal activity
- Fail to pay outstanding invoices
10. Limitation of Liability
To the maximum extent permitted by law, Texxto and Cobian Holdings Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Cobian Holdings Corp from any claims, damages, losses, or expenses arising from your use of our services, your message content, or your violation of these Terms or applicable laws.
12. Changes to Terms
We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
